These Terms of Service govern your access to and use of the website located at commandstone.com and the portfolio reporting software made available through it (together, the "Services"), which are owned and operated by Command Stone Private Partners Inc., a corporation. By accessing the Services, creating an account, or otherwise using any part of the platform, you agree to be bound by these Terms. If you do not agree, you must discontinue use of the Services.

2. Nature of Services

Command Stone provides subscription software for investment advisory firms, family offices, and other institutional clients. The platform consolidates account data supplied by custodians and by the client itself into a single reporting view, and produces performance, exposure, and reconciliation reports from that data.

The Services are informational and administrative in character. Specifically:

The platform receives account data on a read-only basis and cannot initiate, authorize, or execute any transaction.
The platform does not take custody or possession of client funds or securities at any time.
Securities are priced using end-of-day market data. Intraday and real-time quotations are not provided.
Valuations for privately held assets are entered by the client or the client's representative and are reported as supplied, together with the date of the valuation.
Reports generated by the platform are drawn from data furnished by third-party custodians and by clients. While the platform performs automated reconciliation and flags apparent discrepancies, we do not independently verify or audit data provided to us, and we do not guarantee its accuracy, completeness, or timeliness.

3. No Investment Advice and No Fiduciary Relationship

Command Stone Private Partners Inc. is a technology company. It is not registered as an investment adviser, broker-dealer, bank, trust company, or accounting firm with the Securities and Exchange Commission, with any state securities regulator, or with any other governmental authority, and it does not hold itself out as any of the foregoing.

Nothing made available through the Services constitutes investment advice, a recommendation, a solicitation, or an offer to buy or sell any security or other financial instrument. The platform reports measured figures. It does not rate, score, or grade any holding, does not characterize any security as attractive or unattractive, and does not suggest any course of action. Any threshold, limit, or policy constraint displayed in the Services is one that the subscribing firm has itself configured.

No fiduciary, advisory, or professional relationship of any kind is created between you and Command Stone by your use of the Services. Subscribing firms remain solely responsible for their own investment decisions, for their obligations to their own clients, and for their compliance with all laws and regulations applicable to them, including recordkeeping, disclosure, and supervisory requirements.

4. Accounts, Client Data, and Acceptable Use

You are responsible for maintaining the confidentiality of your account credentials and for all activity occurring under your account. You agree to notify us promptly of any unauthorized access.

You retain all right, title, and interest in the data you or your custodians furnish to the platform. You grant us a limited licence to host, process, and display that data for the sole purpose of providing the Services to you. You represent that you have obtained any consents necessary to furnish that data to us.

You agree not to reverse engineer, decompile, scrape, resell, or sublicense the Services, and not to use the Services to violate any applicable law or the rights of any third party.

5. Intellectual Property

All content, software, source code, interface design, data models, report templates, trademarks, service marks, and logos made available through the Services are the exclusive property of Command Stone Private Partners Inc. or its licensors, and are protected by United States and international intellectual property laws. Subject to these Terms, you receive a limited, non-exclusive, non-transferable, revocable licence to use the Services for your internal business purposes during the term of your subscription. No other rights are granted, whether by implication or otherwise.

6. SMS Messaging – Promotional Marketing Only

Command Stone Private Partners Inc. uses SMS messaging solely for promotional marketing purposes. By providing your mobile telephone number and opting in, you expressly consent to receive recurring promotional text messages from Command Stone. Consent is not a condition of purchasing any product or service.

Message frequency varies. Message and data rates may apply according to your mobile plan.

Carriers are not liable for delayed or undelivered messages.

Supported carriers include: AT&T, T-Mobile, Metro PCS, Verizon Wireless, US Cellular, Google Voice, Cellular One, Cellcom, Cellular South, Interop, and Clearsky.

We will never sell, rent, or share your mobile telephone number or your SMS consent with third parties or affiliates for their own marketing or promotional purposes.

You may withdraw your consent at any time without affecting your ability to use the Services.

7. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, COMMAND STONE DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR FREE, THAT DATA FURNISHED BY CUSTODIANS OR CLIENTS WILL BE ACCURATE OR COMPLETE, OR THAT ANY REPORT WILL BE FREE OF OMISSION OR DEFECT.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, COMMAND STONE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR INVESTMENT LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES SHALL NOT EXCEED THE AMOUNT OF SUBSCRIPTION FEES ACTUALLY PAID BY YOU TO US DURING THE TWELVE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

9. Governing Law and Dispute Resolution

These Terms and any dispute arising out of or relating to them or to the Services shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to its conflict of laws principles. You and Command Stone submit to the exclusive jurisdiction of the state and federal courts located in Suffolk County, Massachusetts for the resolution of any such dispute.

10. Changes to These Terms

We may revise these Terms from time to time in our sole discretion. Revised Terms will be posted on this page, and your continued use of the Services after posting constitutes acceptance of the revised Terms. We encourage you to review this page periodically.
